# Terms of Service

Last updated: October 20, 2026. Version 1.0

These Terms of Service (the "Terms") are a binding agreement between you and Atoma Labs, a company incorporated in the Republic of Panama that operates the Services ("Atoma", "we", "us").

The Terms govern your use of the website at atoma.fi, the application at app.atoma.fi, the documentation at this site, the Atoma vault smart contracts deployed on Arbitrum, the Atoma Points program, the referral program and any related service we provide (together, the "Services").

By connecting a wallet, signing the sign-in message, depositing into a vault or otherwise using the Services, you accept these Terms, the [Privacy Policy](/legal/privacy.md) and the [Atoma Points Terms](/legal/points-terms.md). If you do not agree, do not use the Services.

## 1. Eligibility

You may use the Services only if you are at least 18 years old, have the legal capacity to enter into these Terms, and are not a Restricted Person as defined in [Restricted Persons](/legal/restricted-persons.md). That page is part of these Terms and may be updated at any time.

If you use the Services for an entity, you confirm that you are authorized to bind it and that it is not a Restricted Person.

Atoma does not require identity verification to deposit or withdraw. We may request it only where required by law or sanctions rules, and may suspend the Services for the wallet concerned until it is provided.

## 2. Restricted Persons

We may apply technical restrictions, such as blocking by location or by wallet address. Using a VPN or any other means to hide your location in order to access the Services is a breach of these Terms. Each time you use the Services you confirm that you are not a Restricted Person.

## 3. What the Services are

Atoma operates vaults: smart contracts that accept USDC deposits and issue vault shares. Atoma trades the deposited capital on third-party perpetual exchanges ("venues") using hedged positions, and reports the resulting value to the vault contract as the share price. Points earned on venues by the vault's trading are distributed to depositors in proportion to their time-weighted share balance, after the performance fee.

Atoma is the operator of the vaults. It decides, at its discretion, which venues to use, how much capital to deploy, and when to open and close positions. You do not direct the trading and have no right to any specific position, venue or strategy.

Atoma is not a bank, broker, exchange, investment adviser, fund manager or custodian under the laws of any jurisdiction, and the Services are not offered as a regulated financial product. Nothing in the Services is investment, legal or tax advice.

## 4. Deposits, shares and withdrawals

* **Deposits.** You deposit USDC on Arbitrum into a vault contract and receive shares at the share price at the time of the deposit. Vaults have a minimum deposit and may have a deposit cap. Deposits may be paused at any time.
* **Share price.** Atoma calculates the value of the vault's assets and updates the share price on-chain. The calculation is made by Atoma, not by an independent party. It is subject to the on-chain limits described in the [Protocol Protections](/security/protections.md).
* **Withdrawals.** Withdrawals are processed in epochs. A withdrawal request cannot be cancelled. Settlement uses the share price at settlement, not at request. Requested shares earn no venue points, no Atoma Points and no referral credit from the moment of the request. Details are in [Withdrawals](/using-atoma/withdrawals.md).
* **Emergency actions.** During abnormal market, liquidity, technical, security or regulatory events, Atoma may pause deposits, delay or stage settlements, close or resize positions, move capital between venues, or suspend access to parts of the Services, acting in good faith to protect depositors and the vaults.
* **Delays.** Settlement can be delayed if a venue restricts withdrawals, if positions cannot be closed at acceptable prices, if the network is congested, or in any other circumstance in which Atoma considers an orderly settlement impossible. Atoma has no obligation to settle a withdrawal at a loss to the remaining depositors.
* **Fees.** The fees are listed in [Fees](/using-atoma/fees.md). Fees are charged as described there and may be changed with notice on this site. Changes do not apply to shares already withdrawn.

## 5. Your responsibilities

* You control your wallet and its keys. Atoma never holds them and cannot recover them. A transaction signed from your wallet is yours.
* You are responsible for the security of the device and software you use, for verifying the contract addresses listed in [Links](/resources/links.md), and for any transaction you sign.
* You are responsible for determining and paying any taxes arising from your use of the Services, including on share price gains, venue points, Atoma Points, referral rewards and any distribution.
* You will not use the Services to launder money, finance terrorism, evade sanctions or commit any other crime, and the funds you deposit are not proceeds of crime.
* You will not interfere with the Services, attack the contracts, the venues or the infrastructure, scrape the Services at a rate that degrades them, or create multiple wallets to obtain points, referral rewards or tiers that you would not otherwise receive.

## 6. Points, referrals and promotions

Venue points, Atoma Points, referral rewards, tiers and any other promotion are governed by the [Atoma Points Terms](/legal/points-terms.md). They have no monetary value, are not a promise of any token or payment, and may be changed, suspended or ended at any time.

## 7. Third-party services

The Services depend on third parties that Atoma does not control: the Arbitrum network, the venues on which the vaults trade, the issuer of USDC, wallet software, WalletConnect and Reown, RPC and hosting providers. Atoma is not responsible for their availability, conduct, solvency, terms or changes to their points programs. A venue's loss, freeze or insolvency is a loss to the vault and therefore to depositors.

## 8. Intellectual property and feedback

The Services, including the software, contracts, documentation, brand, name and logos, belong to Atoma or its licensors. You may use them only as needed to use the Services. Source code that we publish under an open-source license is governed by that license.

If you send us ideas or suggestions, we may use them without restriction or payment.

## 9. Security and responsible disclosure

If you find a vulnerability in the Services, report it to <support@atoma.fi> with enough detail to reproduce it. Do not exploit it, access other users' data or disclose it publicly before we have fixed it. Good-faith research that follows this section is not a breach of section 5. We do not run a bug bounty program at this time.

## 10. Changes, suspension and termination

We may change the Services, these Terms and any linked policy at any time by publishing the new version on this site with a new "Last updated" date. Continued use after that date is acceptance. Material changes to fees or withdrawal terms will be announced in advance on our official channels.

We may suspend or end your access to the Services, or to any part of them, at any time, including when we believe you breached these Terms, when required by law, or when a venue, network or counterparty makes continued operation impossible. Your on-chain right to withdraw your shares remains, subject to section 4. Sections 6 to 16 survive termination.

## 11. Risks

Depositing can result in the loss of some or all of your deposit. Only deposit what you can afford to lose. By using the Services you accept the risks described in [Risks](/security/risks.md), which is part of these Terms, and in particular that: Atoma decides every trade and calculates the share price with no independent administrator, custodian or auditor; vault capital sits on third-party venues that can fail, freeze or exclude Atoma; the contracts have not been manually audited by a third party and can be upgraded by Atoma's multisig; USDC can lose its peg or be frozen; withdrawals take one to two epochs plus settlement, cannot be cancelled and settle at a price that can be lower than at request; venue points and Atoma Points can end up worth nothing; laws can change and restrict or end the Services; and if you lose your keys or sign a malicious transaction, your shares are gone.

## 12. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent allowed by law, Atoma makes no warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability or security. Atoma does not warrant any return, any share price, any number of points, or that the Services will be free of errors, interruptions or attacks. Past performance is not an indication of future performance. You may lose some or all of what you deposit.

Returns, APY, points and other figures shown in the app, on this site, on X, Discord or any other channel are historical or estimated, are calculated by Atoma and are not promises. Statements by Atoma team members, ambassadors or community members are not part of these Terms. You use the Services relying only on these Terms and the linked policies, not on any other statement.

## 13. Limitation of liability

To the fullest extent allowed by law, Atoma, its directors, officers, employees, contractors and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, for lost profits, lost points, lost tokens or lost data, or for any loss caused by a venue, network, wallet, stablecoin, third party, smart contract bug, exploit, change in law or act outside our control. Our total liability for all claims arising from the Services is limited to USD 100.

Atoma is not liable for any delay or failure caused by events outside its reasonable control, including network failures, attacks, venue outages, government actions, war, civil unrest or failures of third-party providers.

Any claim arising from the Services must be brought within one year after it arises, or it is barred.

## 14. Indemnity

You will indemnify and hold harmless Atoma and its directors, officers, employees, contractors and affiliates from any claim, loss, liability and expense, including legal fees, arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

## 15. Governing law and disputes

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws rules.

Before starting any arbitration or court proceeding, you and Atoma will try to resolve the dispute informally for at least 30 days, starting when one party sends the other a written notice describing the dispute. Notices to Atoma go to <support@atoma.fi>.

If the dispute is not resolved in that period, it will be resolved by binding arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) under its rules, by a single arbitrator, seated in Panama City, in English. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding. Either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or to prevent abuse of the Services.

## 16. General

* These Terms, with the linked policies, are the entire agreement between you and Atoma about the Services.
* If any provision is found unenforceable, the rest remains in effect.
* Our failure to enforce a provision is not a waiver.
* You may not assign these Terms. We may assign them to an affiliate or a successor.
* Notices to you are made by publishing on this site or on our official channels. Notices to us go to <support@atoma.fi>. We never contact you first by direct message; do not trust unsolicited messages claiming to be from Atoma.
* Signing the sign-in message with your wallet is your electronic signature and acceptance of these Terms, and the record of that signature satisfies any requirement for a written agreement.
* These Terms create no rights for third parties.
* The English version of these Terms controls over any translation.
